Artboard® EULA

This End User License Agreement (“EULA”) is a legal agreement between you (either an individual or a single entity, referred to as “You” or “User”) and Innovisual.Net (“Licensor”). It governs your use of the downloadable software and/or web application known as Artboard (the “Software”), including any associated media, printed materials, and online or electronic documentation.
By downloading, installing, accessing, or using the Software, you agree to be bound by the terms of this EULA. If you do not agree to these terms, do not download, install, or use the Software.
1. License Grant
Subject to the terms of this EULA and your payment of any applicable subscription or one-time fees, Licensor grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Software solely for your personal, internal, or business purposes.
Note: This Software is licensed, not sold. Licensor and its suppliers retain all intellectual property rights in and to the Software.
2. Subscription and Payment Terms
If you access the Software on a paid subscription or premium basis:
- Billing: You agree to pay all applicable fees in accordance with the pricing displayed at the time of purchase.
- Auto-Renewal: Subscriptions automatically renew at the end of each billing cycle unless auto-renewal is disabled at least 24 hours before the current period ends.
- Refunds: All sales are final. Licensor does not offer refunds for partial billing periods, except as required by applicable law.
3. Restrictions
You agree that you will not, and will not permit any third party to:
- Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Software.
- Modify, adapt, translate, or create derivative works based upon the Software.
- Rent, lease, lend, sell, redistribute, sublicense, or commercially exploit the Software.
- Use the Software for any unlawful purpose or in violation of any applicable laws or regulations.
- Remove or alter any proprietary notices, labels, or marks on the Software.
4. Updates and Maintenance
Licensor may, at its sole discretion, provide updates, patches, or enhancements to the Software to improve functionality, security, or performance. You agree that such updates are subject to this EULA and will be considered part of the Software. Licensor has no obligation to provide support or updates.
5. Intellectual Property
The Software, including all trademarks, underlying code, design, graphics, and documentation, is protected by international copyright laws and treaties. All rights not expressly granted to you under this EULA are reserved by Licensor.
6. User-Generated Content and Data
If the Software allows you to create, upload, or store content or data:
- You retain ownership of your content but grant Licensor a worldwide, royalty-free license to host, process, and display it solely to provide the Software’s services.
- You are solely responsible for backing up your data. Licensor is not liable for any loss or corruption of your data.
7. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. LICENSOR EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS INTERRUPTION, OR OTHER COMMERCIAL LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SOFTWARE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL LICENSOR’S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO LICENSOR IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
9. Termination
This EULA is effective until terminated. Licensor may terminate this EULA immediately and without notice if you fail to comply with any provision herein. Upon termination, you must immediately cease all use of the Software and permanently delete all copies in your possession. Sections 5, 7, 8, 10, and 11 shall survive termination.
10. Export Compliance
You agree to comply with all applicable export control laws and regulations. You shall not export, re-export, or transfer the Software to any country, entity, or individual restricted or prohibited by Singapore law or international trade regulations.
11. Governing Law and Dispute Resolution
This EULA shall be governed by and construed in accordance with the laws of Singapore. Any disputes arising out of or relating to this EULA shall be resolved through binding arbitration in Singapore under the rules of the Singapore International Arbitration Centre (SIAC), except where local consumer protection laws mandate otherwise.

Disclaimer: This EULA does not create a partnership, joint venture, or employment relationship. If any provision of this EULA is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
